The board shall have full power and authority to manage the corporation and any and all of its assets, properties, and affairs, including the right to elect such officers and assistant officers and to designate and appoint such agents and employees as the board deems advisable and to allow them suitable compensation, and shall have any and all additional powers and authority, not inconsistent with the express terms of these articles of incorporation. That are expressly or impliedly granted to or invested in the board by the statutes or laws of the state of kansas, as now in effect and as hereafter amended or modified. Unless otherwise provided in the bylaws of the corporation, the election of directors by written ballot shall be required only if requested by a member entitled to vote at said election.

To determine whether a conflict of interest exists, an interested person must disclose the existence of a financial interest to the board of directors, or to such committee as may be designated by the board of directors to consider potential conflicts of interest. Upon the disclosure of the existence of a financial interest, the board of directors or committee shall meet and discuss the matter with the interested person, who shall disclose all material facts related to the financial interest. Thereafter, the board of directors or committee shall consider the matter outside the presence of the interested person and shall determine whether a conflict of interest exists. Each year, each covered person shall sign a statement affirming that such covered person: 1. Has received a copy of this conflict of interest policy, 2. Has read and understands the policy, 3. Has agreed to comply with the policy, and 4. Understands that the institute is a charitable organization and that, in order to maintain its federal tax exemption, the institute must engage primarily in activities that accomplish its tax-exempt purpose. In the event a conflict of interest or possible conflict of interest develops between any officer or director, the board shall review the situation and make a determination as to appropriate action pursuant to the corporation's policy on conflicts of interest, as amended from time to time. The board shall determine the appropriate procedures for each situation, but the provisions hereof shall not necessarily prohibit any officer or director from doing business with the corporation. Those procedures may include requiring any officer or director to provide a disclosure statement regarding actual or potential conflicts of interest from time to time.

Form 990, Part VI, Section B, Line 15

To ensure the institute operates in a manner consistent with its charitable purpose, and does not engage in activities that could jeopardize its tax-exempt status, the board of directors or a committee appointed by the board of directors shall conduct an annual review that shall include, at a minimum, findings on the following subjects: 1. Whether the institute's compensation arrangements and benefits are the result of arm's length bargaining and, based on competent survey information, are reasonable. 2. Whether partnerships, joint venture, and arrangements with management organizations in which the institute participates conform to the institute's written policies, are properly recorded, reflect reasonable investment criteria or payments for goods and services, further the institute's exempt purposes and do not result in private inurement, impermissible private benefit or an excess benefit transaction under the code. When conducting the annual reviews under article vii, the board of directors or committee may, but need not be required to, use outside advisors. If outside advisors are used, their use shall not relieve the board of directors of its responsibility for ensuring that annual reviews are conducted properly.
