The mat-su home builders association, inc. Is an association made up of a general membership. The general membership elects the governing body.

Form 990, Page 6, Part VI, Line 7A

The general membership elects the governing body - the board of directors. In september of each year the executive director sends out nomination forms to the general membership. Once the nominees are been chosen then the general membership receives voting ballots. There must be a 10% quorum for voting and the membership votes their ballots at the annual membership meeting.

The general membership votes on the board of directors. The decisions that the general membership has authority over are: - any changes to the by-laws has to be approved by the general membership. - the general membership votes and approves the annual election of the board of directors.

The board of directors do not review the form 990 prior to filing. However, when the form 990 has been completed and filed the executive director notifies the board of directors that the tax return has been filed timely and that a copy is available for inspection upon request.

Throughout the year the board of directors hold monthly meetings as well as an annual membership. It is through these meetings that the board monitors for any conflict of interest that may arise.

An annual review is done in november of each year. The executive committee conducts the review of the executive director and presents their review to the board of directors. The board of directors will then approve the compensation for the executive director.
