Governance Explanations

Form 990, Part VI, Section A, line 1A

As stated in the organization's bylaws, the corporation shall have an executive board whose functions shall be to take action, which may be required between meetings of the board of directors. The executive board may exercise the authority of the board of directors in the management of the corporation. The executive board is comprised of eight regular members, four of whom will be officers of the corporation plus four selected from the remaining board members. The salmon gear groups will hold two seats each

Ssraa is govered by a 21 member board. 13 elected seats represented by the commerscial salmon fishing gear groups and eight appointed representatives of other groups affected by the salmon industry. All represented groups are present in southern southeast alaska region.

The organization follows an established election and appointment policy to select interested persons to serve on the board of directors. Gear seats are elected by their active permit holder peirs following the nomination and election policy and procedures. The appointed seats are selected by each of the represented gear group memebers as prescribed by policy.

The board by exercising policy may also choose to delay a decision to a second meeting to obtain input from outside experts requiring a second reading. This policy decision allows the board to consider an item twice before a vote, if deemed necessary. In this scenario the final decision is still with the full board. Certain functions and decisions are restricted to or controlled by the elected gear seats such as selection of appointed seats and approval of terminal harvest area (tha) rotational calendars. These are funcitions primarily performed by a subset of the board. Other governance decisions that affect policy are regulatory decisions where some internal policy approvals are controled by regulatory and/or cooperative processes working through the state of alaska department of fish & game (adfg); adfg/private nonprofit hatchery regional planning team (rpt) process, and adfg commissioner. In these processes board policy approval is predicated on consideration of others outside the board process and control.

Prior to signature and submittal, the 990 is reviewed inhouse by the operations and general managers, contract accountant and then forwarded to the board of directors for their comments and/or questions.

Financial Statement Notes

Part X, Line 2:

SSRAA is organized under Section 501(C)(3) of the Internal Revenue Code as a non-profit, tax-exempt organization. In addition, SSRAA qualifies for the charitable contribution deduction under Section 170(B)(1)(A) and has been classified as an organization other than a private foundation under Section 509(A)(2). SSRAA follows the provisions of FASB ASC 740 Income Taxes, and management believes that it has appropriate support for any tax positions taken. SSRAA's most significant tax provisions are its assertion that it is exempt from income taxes to the extent that its activities are within its tax exempt mission, and its determination whether any activities are not within its mission and are therefore subject to unrelated business tax (UBIT). All significant tax positions have been considered by management, and has determined that it is more likely than not that all tax positions would be substantiated upon examination by taxing authorities. SSRAA's federal income tax returns (Form 990) are subject to possible examination by the IRS until the expiration of the related statutes of limitations on those tax returns, which, in general, have a three-year statute of limitations.

IRS990/Desc01. Chum - SSRAA programs are established to enhance and rehabilitate salmon production in southern Southeast Alaska to the optimum social and economic benefit of salmon users. The expenditures related to producing returning adult salmon is accomplished through operation of seven hatcheries and six remote release sites. The Southeast Alaska commercial salmon fleets are the largest benefactors catching SSRAA salmon. In 2024 there were 278 SE seine permit holders, 472 SE drift gillnet permit holders, 866 State hand troll permit holders, and 953 State power troll permit holders. Each of these fishermen is an independent small business. In addition to the commercial fleets there are several hundred commercial sport charter businesses, non-guided resident sport fishermen, personal use fisherman, and subsistence fisherman benefiting from SSRAA salmon returns. The 2024 SSRAA chum fry release was 202,040,000 million.From the releases of SSRAA chum fry returning as adults the chum salmon program generated $14,248,900 in exvessel value to the commercial fleet in 2023. The wholesale value to regional communities is approximately twice that amount.

In 2024 there were 278 SE seine permit holders, 472 SE drift gillnet permit holders, 866 State hand troll permit holders, and 953 State power troll permit holders. Each of these fishermen is an independent small business. In addition to the commercial fleets there are several hundred commercial sport charter businesses, non-guided resident sport fishermen, personal use fisherman, and subsistence fisherman benefiting from SSRAA salmon returns. The 2024 SSRAA chinook smolt release was 2,800,300 million.From the releases of SSRAA chinook smolts returning as adults the chinook salmon program generated $2,272,700 in exvessel value to the commercial fleet in 2023. The wholesale value to regional communities is approximately twice that amount. SSRAA chinook returns also have a strong positive impact on local sport, personal use, and subsistence opportunity.
