“The executive committee shall be composed of the president; 1st vice president; 2nd vice president; treasurer; secretary; area 15 vice president, if from washington state; state representative; special voting member to nahb; national delegate; associate national delegate; the most recent past president of the association able and qualified to serve; the chair of the second vice presidents council, the chair of the legislative policy committee; the vice chair of the legislative policy committee; the president of the biaw member services corporation, the chair of the biaw health insurance trust, the chair of the washington affordable housing council; the chair of the remodelers; the chair of the education committee; the chair of the local association president council; the chair of the long range planning committee; the chair of the membership committee; the chair of the accessible housing council; the chair of the bylaws and nominations committee; and three members-at-large appointed by the president, two of whom shall reside east of the cascade mountains. The executive committee shall have jurisdiction over matters relating to the budget of the association. The senior officers between meetings of the board of directors, shall have and shall exercise the authority of the board of directors in the management of the association except for certain powers reserved to the board.”

“Biaw has members who, pursuant to a provision of the organization's governing documents or applicable state laws,have the right to participate in the organization's governance. Members in this association shall be of the following classes: a. Builder membership b. Associate membership c. Affiliate membership d. Student membership e. Honorary membership f. Life membership each builder member, associate member and life member shall be entitled to one vote on each matter submitted to a vote of the general membership.”

“Directors of this association shall be elected or appointed by their respective affiliated local associations or chapters annually.”

“The executive vice president and finance committee reviews form 990 before it is filed.”

“Board members have a fiduciary duty to conduct themselves without conflict of the interests of biaw. In their capacity as board members, they must subordinate personal, individual business, third-party, and other interests to the welfare and best interests of biaw. Full disclosure of all actual and potential conflicts, and a determination by the disinterested board (or biaw executive committee) members, with the interested board member(s) recused from participating in debates and voting on the manner, are required.”

“The executive vice president undergoes an annual performance review conducted by the senior officers of the board. They determine any increases in compensation based on the result of the review. When a new executive vice president is hired, comparability data is used to verify compensation is in alignment with the industry standard. This was last done in november 2021.”

“The organization's governing/organizational documents and conflict of interest policy are available to the public upon request.”
