In their capacity as board members, they must subordinate personal, individual business, third-party, and other interests to the welfare and best interests of biaw. Full disclosure of all actual and potential conflicts, and a determination by the disinterested board (or biaw executive committee) members, with the interested board member(s) recused from participating in debates and voting on the manner, are required.”

“The executive vice president undergoes an annual performance review conducted by the senior officers of the board. They determine any increases in compensation based on the result of the review. When a new executive vice president is hired, comparability data is used to verify compensation is in alignment with the industry standard. This was last done in november 2021.”
