However, the executive committee does not have authority to bind the board of directors or the organization on any matters involving the purchase or sale of real property or the purchase or sale of equipment, furniture or fixtures in excess of 1% of the organization's annual budget. The executive committee has authority to authorize submittal of grant applications.”

The board or committee determines whether a conflict of interest exists. If a conflict exists, the conflicted individual must leave the room for all discussions and votes on the matter. Conflict of interest discussions and results are noted in meeting minutes.”
