“The executive director and director of financial operations have the responsibility for reviewing the form 990 (including all pertinent schedules) before it is filed with the internal revenue service. A draft of the form 990 is reviewed by them prior to the filing deadline, unless extended to complete this review. After the draft of the form 990 has been obtained by the executive director and director of financial operations, they complete their review in a timely manner. In conducting their review of the draft of the form 990, a top-level or big-picture type of review is preferred. Once they have completed their initial review of the form 990, a meeting or conference call will be scheduled with the preparer of the form 990 to discuss any questions, comments, and suggested revisions identified. The preparer of the form 990 makes any revisions to the form 990 as soon as feasibly possible to ensure that the form 990 is filed with the internal revenue service in a timely basis. All questions, comments, and suggested revisions set forth by the executive director and director of financial operations are documented, along with any response from the preparer of the form 990, if applicable. After the form 990 has been reviewed by the executive director and director of financial operations and filed with the internal revenue service, the executive director makes a presentation at the next full board of directors meeting to update the full board regarding its review of the form 990. The board is also encouraged to review the full form 990 once it is posted on guidestar.”

“Annually, conflict of interest statements are updated by the board members and reviewed by the executive director. Executive director and director of financial operations also prepare statements and reports them directly to the board. For any conflict reported, the affected board or staff member is prohibited from participating in the vote and discussions to which the conflict pertains.”

“During the june executive committee meeting, the executive committee reviews the executive director's performance from the year and discusses any changes to the executive director's compensation. The final decision on compensation is approved by the executive committee of the board.”
