Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee: president, vice president, secretary and treasurer. All members of the executive committee are on the governing body. The executive committee is empowered to act for the organization between regular meetings of the board, if necessary. In practice, the executive committee doesn't meet regularly and seldom needs to act since the board meets monthly.

Form 990, Part VI, Section A, Line 6

The membership of this organization shall be open to the following: a. Various units of government (counties, conservation districts, port districts, public utility districts, incorporated cities, and recognized tribal governments). B. Community organizations c. Educational districts and institutions d. Workforce development agencies and organizations e. Businesses located in jefferson and clallam county f. Individual membership g. Such other categories of membership as may be agreed upon by an affirmative vote of two-thirds of the council at a regular council meeting. New council members may be added by a majority vote of the council members present at a council meeting. New council members may be recruited by the coordinator or council members. All organizational members in good standing (up to date on annual dues) have one vote. Individual members, if any, are non-voting.

The executive board consists of 5 - 9 council members in good standing who are elected by the council members.

Any member of the executive board may be removed for cause by affirmative vote of a two-thirds (2/3) majority of the council members. Changes in the bylaws require a 2/3 vote of the council members in good standing. Dissolution of the organization aloso requires a 2/3 vote of the council members.

The organization's conflict of interest policy covers directors, officers, the top management or top financial officials, and key employees. Each director, each corporate officer, the top management official, the top financial official, and each key employee of the organization, shall annually sign a statement that affirms that the person has received a copy of this conflict of interest policy, has read and understood the policy, and has agreed to comply with the policy. Each insider shall disclose to the board all material facts regarding his or her interest in the transaction, promptly upon learning of the proposed transaction. With regard to an insider, the board shall determine if a conflict of interest exists. The insider(s) and any other interested person(s) involved with the transaction shall not be present during the board's discussion or determination of whether a conflict of interest exists.
