Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors shall designate and appoint an executive committee consisting of no fewer than five directors. The chair of the corporation shall serve on the committee and serve as its chair. The station director, vice chair, immediate past chair, secretary, licensee director and chairs of each board committee shall also be members of the executive committee. Subject to any limitations in these bylaws and any limitation imposed by the board of directors or by law, the executive committee shall have the power to transact all regular business of the corporation between meetings of the board of directors.

An executive search firm was engaged to recruit a new president/general manager in the fall of 2013. Since being hired, the president's compensation is determined by the university of washington.
