Form 990, Part VI, Section A, line 7A

Harriet Bullitt, a member of the board, has the right to designate remaining board members during her life. After her death, the remaining board members shall be designated by a majority of the other board members. At least one of such members shall be a resident of the Wenatchee River watershed down to and including the Mission Creek Valley and the Nahahum Canyon. Form 990, Part VI, Section B, line 11B

Form 990, Part VI, Section B, line 12C

Upon appointment, members are required to sign a conflict of interest statement that says the member has received a copy of the conflict of interest policy, has read and understands the policy, agrees to comply with the policy, and understands that failure to do so may jeopardize the Icicle Fund's public charity status. In addition, the policy requires that a periodic review be conducted that, at a minimum, considers whether transactions conform to the Icicle Fund's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do no result in inurement, impermissible private benefit or in an excess benefit transaction. Members receive and review a copy of the conflict of interest policy at an annual meeting.

Form 990, Part VI, Section B, line 15A

Compensation for the executive director is determined annually by the executive committee of the board of directors. It is based on an annual performance review and comparability data made available by Exponent Philanthropy and Council on Foundations.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt0Icicle Fund was formed to support qualified public charitable organizations in the following categories: A. Icicle Creek Center for the Arts and other qualified public arts organizations in North Central Washington ("the area"); B. Chelan-Douglas Land Trust, The Nature Conservancy, Trust for Public Land, and other qualified public charitable organizations, for the purpose of acquiring and protecting open space lands in the area for conservation purposes and providing public education about the environment of the area; and C. Wenatchee River Institute, Methow Arts Alliance, and other qualified public charitable organizations which support public education about art, the environment, human history, and natural history of the area.
IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt1There was no change during the year to the named supported organizations listed in the organizing documents. The Organization also supports qualified charitable organizations in the categories of arts, land conservation, and the human and natural history of North Central Washington. Not all organizations receive grants on an annual basis; therefore, an organization may receive a grant in year 1, not in year 2, then again in year 3.
IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt2Two board members shall be designated by Icicle Creek Center for the Arts and Methow Arts Alliance, or their successor organizations. Four board members shall be designated by the Chelan-Douglas Land Trust, The Nature Conservancy, Trust for Public Land, and Wenatchee River Institute, or their successor organizations. If there are more than seven board members, a majority of board members representing the supported organizations shall choose as many of the additional board members as will give the supported organizations and the members chosen by a majority of them a majority's voting power on the board.
IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt3Grants made to organizations other than the controlling supported organizations are considered to be carrying out the purposes of the controlling supported organizations because the other organizations are engaged in similar charitable pursuits. Furthermore, all grants are approved by the board, which includes representatives of the controlling supported organizations.
