Paul kundtz, nelson mathews and david patton, as employees of the trust for public land, curt soper, as an employee of the chelan douglas land trust, and james schroeder, as an employee of the nature conservancy routinely conduct land transactions and work together on capital campaigns. All are directors of icicle fund. Roger hoesterey worked with paul kundtz as an independent contractor to assist with development of an owner's manual for icca properties, llc which is owned by icicle fund. Both are directors of icicle fund. Curt soper, as an employee of the chelan douglas land trust, patrick walker, as an employee of the wenatchee river institute and james schroeder, as an employee of the nature conservancy, routinely work in partnership together on various education, acquisition and stewardship programs. All are directors of icicle fund. Curt soper, paul kundtz and david patton are directors of washington association of land trusts. All are directors of icicle fund. Paul kundtz and david patton are both employees of the trust for public land and are directors of washington wildlife and recreation coalition and mountains to sound greenway. Both are directors of icicle fund. Rebecca ryker, an employee of icicle creek center for the arts, works in partnership with patrick walker, an employee of the wenatchee river institute. Both are directors of icicle fund. Heather murphy, a director of icicle fund, earned $1,839 in 2017 from sales of arts and crafts to related organizations and $3,201 in sales of art to sleeping lady inc., owned by harriet bullitt, a director of icicle fund. Holly brewster is harriet bullitt's granddaughter. Both are directors of icicle fund.

The organization amended its articles of incorporation to include methow arts alliance as a named partner organization, to increase the minimum number of board members from five to seven and to amend the criteria for selecting board members as disclosed on schedule a, part vi, supplemental information.

Harriet bullitt, a member of the board, has the right to designate remaining board members during her life. After her death the remaining board members shall be designated by a majority of the other board members. At least one of such members shall be a resident of the wenatchee river watershed down to and including the mission creek valley and the nahahum canyon. If there are nine or more members, one shall be a person with business experience, selected by a majority of the members.

Upon appointment members are required to sign a conflict of interest statement that says the member has received a copy of the conflict of interest policy, has read and understands the policy, agrees to comply with the policy, and understands that failure to do so may jeopardize the icicle fund's public charity status. In addition, the policy requires that a periodic review be conducted that, at a minimum, considers whether transactions conform to the icicle fund's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction. Members receive and review a copy of the conflict of interest policy at an annual meeting.
