In addition to investigating animal cruelty crimes and providing sanctuary and rehabilitation to animals who have suffered from abuse and neglect, we also advocate for better laws to protect animals and work to educate the public about how they can help end animal cruelty.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization adopted new bylaws on october 29th, 2024. The 2024 bylaws introduce several notable changes and enhancements to the governance structure and operational policies of pasado's safe haven. Most significantly, the term limits for directors have been clarified and formalized: directors now serve two-year terms with a maximum of three consecutive terms, after which a mandatory one-year break is required before potential re-election, resetting the term limit. This contrasts with the previous bylaws, which allowed unlimited renewals until the board reached full capacity, with term limits only discussed as needed. The 2024 bylaws also specify that former directors may continue to serve on committees during their required break in board service. Additionally, the election of officers is now set for every two years at the december meeting, with officers holding two-year terms, whereas the previous bylaws allowed for unlimited renewals for certain officer positions and set different term limits for others. The new bylaws further strengthen the organization's commitment to diversity and inclusion by establishing board composition goals: at least 30% of board members should self-identify as vegan, at least 30% should not, and at least 30% should self-identify as bipoc. These provisions were not present in the 2020 bylaws. Other updates include more detailed procedures for remote meetings, expanded definitions for board and advisory committees, and enhanced requirements for notice and removal of directors.

The conflict of interest policy is included in the employee handbook and is reviewed by all employees when hired and then again on an annual basis. Board members are presented with the policy annually and asked to disclose any conflicts of interest and this is repeated annually. Any reported actual or potential conflicts are reviewed by the executive director and/or executive board committee.

The board executive committee is responsible for determining the executive director's compensation and annual increases. The committee performs a survey of like' compensation of executives for other similar organizations and a vote of the full board is required when updating compensation of the ed. This process was most recently completed in june 2025. For other key employees, the human resource director conducts semi-annual market surveys for key positions and reviews the findings with the executive director before compensation decisions are made in december each year.
