“The taxpayer's accounting firm forwarded the form 990 to the managing director (md) and the associate director for business & finance (adbf). Upon review, they forwarded the form 990 to the board members for their review prior to the filing of the form. Board members were encouraged to review the form 990 and to forward their questions to the md and adbf. Either the md or the adbf or the accounting firm addressed the board questions.”

“The student center requires that members of the governing board and personnel having the authority to enter into contracts or otherwise obligate the center's resources disclose any significant financial interest that may present an actual or potential conflict of interest in the conduct of any student center sponsored activity. Board members must disclose significant financial interests at the time of proposal submission and update this information annually or more frequently as new financial interests are obtained during their term. The executive secretary will inform the board of any reported potential or actual conflict of interest. Any board member who has a conflict of interest and after working with the board cannot resolve or eliminate such conflict shall be asked to resign her/his position on the governing board. Employees having the authority to enter into contracts or otherwise obligate the center's resources must file a disclosure of economic interests based on the relative decision making authority of their designated position. Instances of failure to disclose conflict(s) of interest and potential violation(s) of any resolution plan will be reported/referred to the chief fiscal officer or designee of san francisco state university. The chief fiscal officer of designee will investigate the issue(s) following campus and system wide procedures and rules for such matters. The managing director shall annually identify employees in designated positions to the governing board and the chief fiscal officer or designee of san francisco state university.”

“A written employee contract is used to establish compensation for the managing director. Compensation survey of comparable positions at the university level is conducted periodically to ensure comparability, and approval by the board is required.”

“The ccsc website contains the annual audited financial statements. The conflict of interest policy and ccsc governing documents are available in the ccsc business office for public inspection for the same period of time set forth in sec. 6104(d).”

“On june 5, 2014, the board of directors of the student center and associated students inc. Of san francisco state university approved the merger of the student center with the associated students inc. The student center ceased its operations on june 30, 2014. Effective july 1, 2014, all student related programs, activities and transactions was transferred to associated students inc.”
