Governance Explanations

Form 990 is prepared by an independant cpa firm and then reviewed by the controller and executive director. The vice president of finance formally reviews the prepared form and then presents it for board approval prior to filing.

Form 990, Part VI, Section B, Line 12C

An annual questionnaire is completed and signed by the board of directors, officers and executive director. The executive director reviews the signed copies and discusses any conflicts with the board. A member with a conflict would self disclose during a discussion involving the conflict and would recuse themselves from the vote.

Compensation for the executive director is determined and approved by the board of directors. Asae compensation benchmarking reports are used for assisting with reviewing the exectutive directors compensation no less than every five years. Compensation for the nhc employees, following an annual review process, is determined and approved by the executive director.

There has been no change in the audit oversight or auditor selection processes from the prior year.

Financial Statement Notes

PART X, LINE 2:

Nhc is exempt from federal income taxes under section 501(c)(7) of the internal revenue code, though it is subject to tax on income unrealted to its exempt purpose, unless that income is otherwise excluded by the internal revenue code. Therefore, no provision or liability for income taxes has been included in the combined financial statements. There was no unrelated business income tax expense for the fiscal years 2022 and 2021. Net investment is considered unrelated business income unless set aside to be used for charitable and educational purposes. Nhc designated that all net investment income for the year ended may 31, 2022 and 2021, be set aside and available for the uses disclosed in the audited financial statments. Accordingly, no provision has been made for federal or state income taxes related to net investment and royalty income. Nhc files a group information tax return that includes the participant corporations. Nhc and participant corporations are no longer subject to u.s. Federal and state income tax examinations by tax authorities for years before the year ended may 31, 2019. Management believes that nhc and participant corporations' income tax filing positions will be sustained on audit and does not anticipate any adjustments that will result in a material change.
