“At the may board meeting, the foundation director announces that the 990 is being prepared. We let the board know that the finance committee will review it when it is completed. After the finance committee completes its review, the complete copy of the return is sent to the entire board prior to filing.”

“The foundation relies on evergreenhealth's conflict of interest policy. Under the policy, all managers and employees are required to be aware of potential conflict of interests at all times and seek guidance whenever such a conflict arises and report it to the appropriate parties where it is reviewed. When a conflict does arise, such individual recuses himself or herself from voting or discussing matters related to such conflict.”

“The foundation utilizes the human resource department at evergreenhealth (related organization) to evaluate and survey the executive director's salary annually. The compensation is paid for by evergreenhealth and treated as an in-kind contribution to the foundation. The human resources department hired an outside consultant to conduct a market analysis at the end of 2018 and used this to determine the executive director's salary. A new survey was completed in may 2021 and will be used going forward.”

“The foundation was founded in 1990 as a nonprofit, charitable corporation organized to meet the needs of evergreenhealth (king county public hospital district #2). The purpose of the foundation is to encourage, receive, administer, and disburse donated funds to the hospital based on donor intent. Charitable donations and bequests underwrite care for those in our community and provide equipment and services to assure quality of care.”

“The primary foundation contributions to evergreenhealth included support for the renovation and expansion of the family maternity center and nicu, support for the hospice care center, development of a new clinical excellence training center, patient assistance and infection control support. In addition, the foundation supported other smaller programs within evergreenhealth. The hospital pays for some foundation expenses including all foundation staff salaries and benefits. The foundation reimburses the hospital for fundraising expenses, but all administrative expenses (which include salaries and benefits) are recorded by the foundation as donation revenue with an off-setting expense for the same amount.”
