Governance Explanations

The approval of a new board member is controlled by the washington state medical association. The board nominates a person for the board, and the wsma confirms the decision.

Form 990, Part VI, Section B, Line 11B

Prior to filing, the completed form 990 is distributed to each board member for review, comments, or questions.

Form 990, Part VI, Section B, Line 12C

Board members review the conflict of interest policy annually including examples of conflicts of interest. Board members are required to disclose any direct or indirect financial or personal interests that pose potential conflicts of interest and sign a conflict of interest statement annually. The signed conflict of interest forms are scanned, filed and stored in accordance with wphp's record retention policy. Completed and signed conflict of interest questionnaires are reviewed by the executive director and/or the executive medical director for disclosed actual or potential conflicts of interest. New actual or potential conflicts are not deferred to annual disclosure process but rather reported to the executive director and/or the executive medical director as soon as they are identified. The executive director and/or executive medical director disclose all identified actual or potential conflict of interests to the wphp board chair. The executive medical director and executive director evaluate charitable giving and other types of financial assistance offered by commercial interests on a case by case basis for potential conflict of interest issues. Typically, such giving will be directed to the named scholarship funds at wphp created to assist participants and their families. Any questions about the application of this policy are brought to the attention of the executive director or the executive medical director.

The executive director and the executive medical director compensation are set annually after reviewing local cola data and/or information compiled by independent compensation consultant. Any adjustments to compensation are approved by the board.

Financial Statement Notes

PART V, LINE 4:

The board of directors designated funds to function as endowments (quasi-endowment) to support its participants as envisioned in its mission statement in the event of shortfalls in funding or unanticipated need.

PART X, LINE 2:

The internal revenue service (irs) has determined that wphp is exempt from federal income tax under section 501(c)(3) and is classified as an organization other than a private foundation under section 509(a)(1); accordingly, no provision has been made for federal income tax in the financial statements. Wphp files tax filings with the u.s., state, and various local governments. Wphp's income tax filings are subject to examination by various taxing authorities. Wphp follows the provisions of uncertain tax positions as addressed in fasb codification subtopic 740-10, income taxes. Wphp believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements.
