The Organization made significant changes to the Bylaws in 2024. A summary of the changes are stated below: - Article I, Section 3(a): The organization's mission has been updated. It previously stated, "The primary mission of the Northwest Natural Resources Institute is to provide educational programs and activities which facilitate balanced, constructive public policy concerning the management of regional natural resources. This shall include, but not be limited to, sponsorship of exhibits, conferences, educational publications/broadcasts, speakers bureau, and tours. The organization shall serve as a clearinghouse for materials on natural resource management/stewardship, and also for resource-related organizations seeking contacts or information." It now states, "The primary mission of the Northwest Natural Resources Institute is to cultivate a better understanding of the daily importance of our agricultural, mineral, forest and water resources by education teachers and students about the science, economic and societal aspects of our region's natural resources." - Removed Article II, Section 2 of the previous Bylaws which stated the designation of Associate members. - Removed Article II, Section 4 of the previous Bylaws which stated that regular membership was entitled to one vote. - Removed Article II, Section 5 of the previous Bylaws which stated the designation of Honorary non-voting members. - Omitted Article III - Meetings of Members of the previous Bylaws. - Article III Board of Directors Section 1 (previously Article IV, Section 1): - Board now consists of no more than 15 members, previously 27. - The director of the Washington State International Agricultural Trade Center is no longer required to be on the organization's Board. - The President/CEO of Greater Spokane Incorporated (GSI) now serves as the Organization's Secretary/Treasurer in an ex-officio capacity, omitting the statement that the President/General Manager of the Spokane Regional Chamber of Commerce (SRCC) shall serve on the Board as its Executive Vice President in an ex-officio capacity. -Omitted statements regarding directors at large, limitations on directors representing public agencies, and SRCC being able to nominate three positions on the Board. - Article IV, Section 2 of the previous Bylaws which stated terms of office, has been omitted. - Article III, Section 2 (previously Article IV, Section 3) now states that vacancies shall be elected or appointed by the acting Board of Directors as opposed to his or her predecessor in office. - Article III Section 3 has been added stating the Board of Directors, with two-thirds vote, may remove any members from the Board of Directors. - Article III, Section 4 has been added stating the Board of Directors shall convene in a regular meeting at least bi-annually and in a special meeting upon call of the President or petition. - Article IV, Section 1 (previously Article V, Section 1) omits that a Secretary/Treasurer will be elected from the Board of Members. As stated previously, this role is now appointed to the President/CEO of GSI. - Article IV, Section 2 (previously Article V, Section 2) omits verbiage regarding the Executive Committee. - Article VI, Section 2 (previously Article VII, Section 2) now states that an audit may be required as determined by two-thirds vote whereas before it stated the books should be audited each fiscal year. - Article VI, Section 5 (previously Article VII, Section 5) now states the fiscal year shall begin January 1 and end the last day of December where it was previously stated as beginning July 1 and ending the last day of June.

A summary of the changes are stated below: - Article I, Section 3(a): The organization's mission has been updated. It previously stated, "The primary mission of the Northwest Natural Resources Institute is to provide educational programs and activities which facilitate balanced, constructive public policy concerning the management of regional natural resources. This shall include, but not be limited to, sponsorship of exhibits, conferences, educational publications/broadcasts, speakers bureau, and tours. The organization shall serve as a clearinghouse for materials on natural resource management/stewardship, and also for resource-related organizations seeking contacts or information." It now states, "The primary mission of the Northwest Natural Resources Institute is to cultivate a better understanding of the daily importance of our agricultural, mineral, forest and water resources by education teachers and students about the science, economic and societal aspects of our region's natural resources." - Removed Article II, Section 2 of the previous Bylaws which stated the designation of Associate members. - Removed Article II, Section 4 of the previous Bylaws which stated that regular membership was entitled to one vote. - Removed Article II, Section 5 of the previous Bylaws which stated the designation of Honorary non-voting members. - Omitted Article III - Meetings of Members of the previous Bylaws. - Article III Board of Directors Section 1 (previously Article IV, Section 1): - Board now consists of no more than 15 members, previously 27. - The director of the Washington State International Agricultural Trade Center is no longer required to be on the organization's Board. - The President/CEO of Greater Spokane Incorporated (GSI) now serves as the Organization's Secretary/Treasurer in an ex-officio capacity, omitting the statement that the President/General Manager of the Spokane Regional Chamber of Commerce (SRCC) shall serve on the Board as its Executive Vice President in an ex-officio capacity. -Omitted statements regarding directors at large, limitations on directors representing public agencies, and SRCC being able to nominate three positions on the Board. - Article IV, Section 2 of the previous Bylaws which stated terms of office, has been omitted. - Article III, Section 2 (previously Article IV, Section 3) now states that vacancies shall be elected or appointed by the acting Board of Directors as opposed to his or her predecessor in office. - Article III Section 3 has been added stating the Board of Directors, with two-thirds vote, may remove any members from the Board of Directors. - Article III, Section 4 has been added stating the Board of Directors shall convene in a regular meeting at least bi-annually and in a special meeting upon call of the President or petition. - Article IV, Section 1 (previously Article V, Section 1) omits that a Secretary/Treasurer will be elected from the Board of Members. As stated previously, this role is now appointed to the President/CEO of GSI. - Article IV, Section 2 (previously Article V, Section 2) omits verbiage regarding the Executive Committee. - Article VI, Section 2 (previously Article VII, Section 2) now states that an audit may be required as determined by two-thirds vote whereas before it stated the books should be audited each fiscal year. - Article VI, Section 5 (previously Article VII, Section 5) now states the fiscal year shall begin January 1 and end the last day of December where it was previously stated as beginning July 1 and ending the last day of June.
