Governance Explanations

Form 990, Part VI, Section B, Line 11

A copy of the 990 will be given to each board member for their review prior to filing the return. The executive director and administrative director will also review the form in depth prior to filing the return.

Form 990, Part VI, Section B, Line 12C

Current board members, the executive director and director-level staff who manage program budgets complete a conflict of interest form once each year. The administrative director collects and reviews these forms and calls any potential conflicts to the attention of the executive director and board president for follow-up action. New board members are questioned about conflicts before they are nominated, and any potential conflicts are disclosed and discussed prior to their confirmation.

Form 990, Part VI, Section B, Line 15

The organization has a board-approved compensation policy. Salary levels for all positions are established based on an analysis of each position's minimum skills, qualifications and duties. Midpoints for each level are evaluated every third year based on regional and industry-specific salary surveys. The executive director performs the midpoint evaluation for all positions and makes recommendations to the board of directors. The board reviews and approves salary changes as a part of the annual budgeting process. The executive director's salary is evaluated and set by the board.

Form 990, Part VI, Section C, Line 19

Wtc's governing documents, policies and financial statements are available upon request.

Form 990, Part VI, Line 1A

The executive committee is made up of the president, vice-president, treasurer, secretary and immediate past-president. All members sit on the regular board of directors. The executive committee's primary purpose is to manage the board and support the executive director. The committee is empowered to act on behalf of the board urgent issues that cannot wait for a full board meeting. All decisions and actions by the executive committee must be reviewed at the subsequent board meeting.
