Governance Explanations

Form 990, Part VI, Section A, line 6

MEMBERS. Washington CAN! has 2 classes of members-- individual members and organizational members. Any individual who expresses an intention to support Washington CAN! by promoting its purposes and programs is eligible to become an individual member and shall qualify for membership upon signing a statement to that effect. An organization that agrees with the mission and purpose of Washington CAN! shall be eligible for membership, subject to review and approval by the Board of Directors. Upon such approval, organizations may join by passing a resolution of agreement and paying dues according to the schedule approved by the Board of Directors, which is a sliding scale based on the organizational member's size and budget.

Form 990, Part VI, Section A, line 7A

MEMBERSHIP ELECTS THE BOARD. The Board consists of one director from each of Washington CAN!'s organizational members, and a representative number of individual At-large Directors determined by the Board. Individual At-large Directors are elected by the general membership at the annual meeting. The Board's intention is to be representative of the state's gender, ethnic, racial and geographic diversity.

DECISIONS RESERVED FOR MEMBERS. Under Washington corporation law, certain important decisions such as certain changes to the governing documents and decisions to merge, consolidate or dissolve require membership approval.

Form 990, Part VI, Section B, line 11B

990 REVIEW PROCESS. The draft of the 990 is reviewed by the Executive Director, the Finance Director and a long time advisor focused on the public information aspect as well as compliance. It is then reviewed by the Board Finance Committee. When all edits are completed, it is forwarded and presented to the entire Board of Directors. Questions, comments and corrections are strongly encouraged, and the importance and value of Board oversight is emphasized. The Board reviews and approves the 990 for filing. If corrections are made in response to questions from the directors, the final version is emailed to the Board before filing.

Form 990, Part VI, Section B, line 12C

CONFLICT OF INTEREST POLICY MONITORING. The conflict of interest policy covers board members, officers, staff and volunteer leaders. It is the responsibility of board members, officers, staff and volunteers to disclose potential conflicts of interest. Determinations of whether a conflict exists and the review of conflicts are made at the Board level. An interested person shall be given the opportunity to disclose to the Board any facts that are material to the arrangement(s) in question. After any discussion with the interested person, s/he shall leave the meeting while the Board discusses whether a possible conflict of interest exists. The remaining board members who are present and who have no financial interest in the arrangement in question shall then determine whether a conflict exists and the best resolution of the arrangement, which typically involves full disclosure to all directors and officers and recusal of that person from any decision from which that person could benefit personally.

Form 990, Part VI, Section B, line 15

EXECUTIVE COMPENSATION. In the fall of 2021 WCAN conducted a series of work sessions with the goal of updating and more aligning its wage scales with the current environment based on researching nonprofit job openings in King County. These sessions included managers and directors from every department and board members. From the work sessions, the Director Team, led by the Executive Director and Finance Director, compiled wage scales for each department for further review and discussion. The final proposed wage scales were presented to the Board where they were discussed and approved. The new wage scales were implemented in January 2022. In any case, we are more than confident that Washington CAN along with our affiliated Education and Research Fund 501(c)3 are not exerting upward inbluence on executive compensation given our size, reach and complexity.

Form 990, Part VI, Section C, line 19

DISCLOSURE. Although no one requested these documents, Washington CAN! may make financial statements, governing documents and conflict of interest policies available upon request, but we consider each request on a case-by-case basis. If we determine that the request is sincere, we would provide paper copies for pick up or by post. Of course our 990 returns and Form 1024 are made available to anyone upon request.

IRS990/Desc0CIVIC ENGAGEMENT & ELECTORAL IMPACT:Washington CAN (WaCAN) played a leading role in electoral organizing and statewide initiative campaigns, ensuring working-class communities and people of color had a direct impact on shaping policies and electing progressive leadership. In 2024, WaCAN engaged 51,303 voters through door-knocking, phone, and pledge to vote card outreach, educating residents on key ballot initiatives that would have significantly impacted economic and environmental justice. These efforts contributed to the defeat of three harmful initiatives: Initiative 2117, which sought to repeal the Climate Commitment Act; Initiative 2109, which would have eliminated Washington's capital gains tax, endangering essential investments in education and social programs; and Initiative 2124, which proposed allowing residents to opt out of Washington's long-term care program, jeopardizing future support for seniors and disabled individuals. WaCAN was the top-performing organization in the fight against Initiative 2117, accounting for 37.51% of all doors knocked across 14 partner organizations. Our deep canvassing and voter outreach resulted in a 14.7% increase in turnout among our targeted communities, significantly outpacing the 1.8% impact from the No on 2117 campaign. Through 7,973 direct voter conversations and high-contact canvassing in BIPOC and working-class communities, Washington CAN helped secure victories for our state.

Through direct interviews, members engaged with candidates to assess their alignment with WaCAN's priorities. WaCAN played a key role in electing progressive candidates in 2024.These statewide victories included Dave Upthegrove's as Land Commissioner, securing leadership that prioritizes environmental and climate justice and Nick Brown as Attorney General, bringing a strong advocate for justice reform and corporate accountability. At the local level, WaCAN played in instrumental role in electing Alexis Mercedes Rinck's bringing her leadership in budget, policy, and advocacy, strengthening grassroots momentum to Seattle and Deana Knutsen to the Snohomish Hospital Commission seat with Verdant Health, ensuring that healthcare governance reflects the needs of the community.

IRS990/ProgSrvcAccomActy3Grp/Desc0PACIFIC COUNTY:Pacific County Voices Uniting (PCVU) is a fiscally sponsored project of Washington CAN's that aims to shift, balance, and develop a culture of healthy civic engagement. In a county with large disparities, PCVU is uniting crosscultural and multi-generational demographics to participate in collaborative social movements that increase civic engagement through education, create more reflective representation and build political power. In 2024, through door-to-door canvassing, Community Engagement Organizers knocked on 7,817 doors to Get Out The Vote, an increase of 4,625 doors from 2023. In addition to door knocking, PCVU hosted 5 community-based ballot parties and Community Outreach Navigators helped to distribute over 24,260 pounds of food to Pacific County families through community grants and the organization participated in 3 community festivals throughout the year.

Our advocacy efforts included: 557 community sign-ins in support of progressive policies, amplifying constituent voices in legislative decision-making; a highly successful lobby day, bringing 97 community leaders to Olympia to meet with legislators and advocate for economic, housing, and healthcare justice; and 87 gig workers mobilized in advocacy efforts to fight for fair wages and workplace protections. Washington CAN also engaged in coalition efforts to advance policy change, including active participation in the Powerbuilding Table, a statewide movement-building coalition that aligns long-term strategies for social and economic justice.
