Governance Explanations

Form 990, Part VI, Section A, line 6

All members may hold office. All members except affiliate members have voting rights.

Form 990, Part VI, Section A, line 7A

The Board of Directors are elected by members.

Form 990, Part VI, Section A, line 7B

Members have the approval rights in accordance with Title 24 of the Washington Nonprofit Corporation Law.

Form 990, Part VI, Section B, line 11

The Form 990 and 990T are reviewed by management, with assistance from the outside CPA firm prior to the returns being submitted to the board for review. All Board members are provided an electronic draft copy of the Form 990 and 990T with instructions to review and respond with any questions or changes. The Board reviews the returns before they are filed.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy applies to all board members and officers. All board members and officers are sent an annual conflict of interest disclosure statement which they are required to complete and return to the board, who reviews and discusses the information to determine if a potential conflict exists. Potential conflicts of interest would then be reviewed by the President. If a conflict is identified, the individual(s) involved would be recused from discussing or voting on the matter.

Form 990, Part VI, Section B, line 15A

Officers and directors serving on the board are volunteers and not compensated. The President is the sole non-voting employee officer of the organization. Compensation has been established and compared to industry standards. The present Chair, past Chair, and incoming Chair comprise the "Compensation Committee and determine any raise or bonus for the President annually. The date of the last compensation review was 10/21/15.

Form 990, Part VI, Section C, line 19

Tax returns for the past three years are available to the public. They are kept on file with reception at the organization's office in Bellevue, WA. Governing documents, the conflict of interest policy, and financial statements are not made available to the public.
