Governance Explanations

Form 990, Page 6, Part VI, Line 7A

Adult puyallup tribal members, some of whom are employees of ptha and some of whom are patients of ptha, may vote in elections to select their tribal council members. The tribal council appoints the ptha board of directors.

Form 990, Page 6, Part VI, Line 11B

The cfo and the accounting manager review the 990 in detail before it is filed. Copies are given to the board of directors.

Form 990, Page 6, Part VI, Line 12C

The board of directors adopts, updates and enforces the policy with advice from legal counsel. Individual members are accountable to the entire board for compliance. Annual training for employees includes the policy's requirements with violations subject to progressive discipline and board oversight.

Form 990, Page 6, Part VI, Line 15A

The executive director's compensation was set by the board of directors after review and recommendation by the tribe's human resource (hr) department and finance department. The cfo's compensation was set after internal hr review and recommendation, followed by review and recommendation from the tribe's hr and finance department and board approval.

Other key employees compensation has been set by ptha hr department with finance department review. Comparisons with like positions, both internally and externally, by utilizing professional salary studies (i.e. Milliman). Hr recommends the salary, finance reviews and determines budget availability, and the executive director gives final approval or denial. Ongoing adjustments to salary levels are generally due to budgeted and approved general salary increases for all staff based on market and economic review and subject to board approval. Other interim adjustments may be made to reflect internal/external equity, increased responsibilities resulting in a position reclassification. These are all reviewed by hr and finance before being approved by the executive director before implementation.
