“The following changes were made to the government documents: -to expand the trustee seat currently designated for a wsba past president to include a wsba past president or governor, thus increase the pool of eligible candidates; -to add the immediate past wsba president, ex officio, non-voting, to the board to help strengthen the connection between the bar association and its foundation; -to change the notice to members of board election from fifteen to ten days to align with the bog materials deadline; and, -to allow officers, duly elected by the board, to serve an additional year beyond the term limit, thus improving leadership succession planning. -to clarify that the mission of the foundation is to raise funds to support wsba programs, and that the foundation does not initiate its own programs. -to correct language referencing the number of trustees permitted on the board to align with bylaws amendments made in september 2015, which allow an officer to serve an additional year beyond the term limit in order to aid leadership succession planning. -to make the description of ex-officio members of the board consistent by adding language that the wsba executive director serves on the board of trustees ex-officio to article iii of the bylaws.”

“The sitting members of the washington state bar association board of governors constitute the membership of the washington state bar foundation.”

“The members elect the board of trustees.”

“The members approve changes to the bylaws.”

“A copy of the completed 990 is circulated to the board for review and board members are invited to ask questions.”

“Staff review the policy with trustees, providing instruction, and gathering signed forms from each trustee.”

“The organization makes its governing documents, conflicts of interest policy, and financial statements available to the public upon request pursuant to the time period set forth in section 6104(d).”
