“The executive committee consists of the president, vice-president, secretary/treasurer and immediate past president and meets monthly in consultation with the chief executive officer. Between board meetings, the executive committee has the authority of the board of directors in the management of the corporation unless otherwise limited or prohibited by law.”

“Rckc's treasurer reviews the form 990 with the cfo after it has been completed. If no changes are needed, he presents it to the full board at their next meeting and recommends approval. Following discussion, if any, the board accepts the 990 as recommended.”

“Board members may not profit in any way in their outside employment or business interest because of their association with rckc. During board meetings, members must disclose any potential or actual conflict of interest involving an issue before the board, ask the minutes to reflect the notice, avoid taking part in discussing the matter, and excuse themselves from the room during the discussion and vote.”

“The board determines compensation for the ceo based on an annual performance evaluation and comparable salaries for ceos of similar nonprofit agencies. A separate evaluation form is completed by each board member; the results are compiled by a designated board member, and a signed copy is placed in the ceo's personnel file, along with the ceo's comments, if any. This process was last completed in 2013. Other key employees are evaluated by the ceo and a signed copy of their evaluation form is placed in the personnel file.”

“Rckc's governing documents and conflict of interest policy are available in the agency administration manual; copies can be provided upon request. Financial statements are distributed annually to our principal funders and other interested stakeholders; copies will be provided to interested others upon request.”
