“Significant changes to the organization's bylaws: 1. The number of voting members required has changed to a minimum of 25 and a maximum of 50, previously 40 and 60 respectively. 2. Trustee terms no longer need to be staggered so that approximately one third of the trustee positions are up for election at the time of the annual meeting of the board. 3. Amendment of bylaws require written notice of the substance of the proposed change or changes to be sent to the trustees at least 30 days before the first board meeting at which the proposed change or changes are presented to the board, and action on any such change or changes is taken at a subsequent board meeting.”

Both the individual disclosure of the interest and absence from the discussion will be recorded in the minutes of the meeting.
