Governance Explanations

Form 990, Part VI, Section A, line 6

Classes: The Board shall have the authority to establish classes of membership. There shall be four classes of members: (a) Individual members - Persons accepting the purposes of the Council shall be eligible for membership in the Council upon payment of the established fees, including persons who are members of organizations which hold organizational membership in this council. Any individual member in good standing with respect to payment of the established fees shall be entitled to vote for the Board of Directors in accordance with the balloting procedures set forth in these by-laws. As used herein, "person" shall not include corporations, associations, trusts or other entities conducted for profit or trade associations and business leagues. (b) Organization members - Viable citizen organizations which have demonstrated that they are in harmony with the purposes of the Council shall be eligible for membership in the Council upon payment of established fees. Any organization member in good standing with respect to payment of the established fees shall be entitled to vote for the Board of Directors in accordance with the balloting procedures set forth in these by-laws (c) Honorary members - May be granted for life by the Board for outstanding devotion to the purposes of the council. No fees shall be established for Honorary members. (d) Associate members - Non-governmental organizations not otherwise eligible for membership in the Council, including but not limited to corporations, associations, trusts or other entities conducted for profit and trade associations and business leagues, shall be eligible for associate membership in the Council upon payment of the established fees. Associate members shall not be entitled to any voting privileges nor to any voice in the Council.

Election of Directors: Each year, the Executive Committee of the Board shall review the recommendations of the nominating committee and determine which candidates are most capable of supporting the initiatives and agendas of the council. In the month of April, May or June of each year, the slate of candidates ("Board Slate") selected by the Executive Committee shall be submitted to the membership of the Council for approval.

Financial Statement Notes

Part V, Line 4:

The Vim Wright Fund (VWF) is intended to protect and nurture Washington's environmental health through communication among stakeholders, research, internships, and recognition of outstanding environmental accomplishment with the "VIM Award." The governing document states that the balance shall be at least $35,000 at all times, that no more than 10 percent of the fund's total balance may be appropriated in a given year, and that VIM Awards are to be made by the board of the Organization based on the recommendations of the VIM Advisory Committee. The assets are invested with the goal of preserving the fund's minimum funding requirements. The Board Restricted Fund (BRF) is a general endowment established to provide funding to further the Organization's objectives. The governing document establishes an Investment Committee to monitor the fund's investment activity. The investment policy is focused on preservation of capital and risk aversion. The Investment Committee has set an annual spending limit of 5 percent of the fund's portfolio value.

Part X, Line 2:

The Organization is exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. In addition, the Organization qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and has been classified as an organization that is not a private foundation under Section 509(a)(1). The Organization's income tax filings are subject to examination by various taxing authorities
