We promote positive aging for older adults throughout king county, from the frail, homebound elders to the healthy, active baby boomers. Through our integrated system of quality programs and senior centers, we build a just society where aging adults and those who care about them can live their best lives.

We partner with older adults to provide accessible and inclusive services so they can age their way.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the board chair, the immediate past board chair, the board vice chair, the secretary and treasurer of the corporation, the chairs of all standing committees, and up to 2 members of the board of directors appointed at-large by the board chair. Except as provided herein, the board of directors extends to the executive committee the authority to act on behalf of the board in circumstances of emergent need or requiring urgent action which would make assembly of the full board of directors impractical.

In oct-2022 the organization's bylaws were amended to allow the board chair's role to serve a term length of two years.

Draft 990 is presented to sound generations' finance committee for approval. Approval is documented in finance committee meeting minutes. Full 990 is shared with full board at the next board meeting.

Form 990, Part VI, Section B, Line 12

Board members sign a copy of the policy and a disclosure form every two years. Each employee signs the conflict of interest policy form as part of the new hire process. Board members recuse themselves from voting on items that may include conflicts of interest.

Form 990, Part VI, Section B, Line 15A

The ceo's compensation adjustments are reviewed by the board chair and the executive committee prior to any changes in compensation. The deliberation and decision is documented in the meeting minutes. The human resources department administers all aspects of the compensation plan, including: - partnering with executive leadership and department managers to develop and maximize workforce competencies, retain valued employees, enhance career growth, and support succession planning. - managing the adopted wage scale, initial pay placement, and employee pay changes. - conducting and participating in wage surveys. Analyzing wage data, performing wage comparisons, and recommending changes to job classifications, pay grades, and the sound generations wage scale as necessary. The process described here was last completed in 2022.
