Spokane Symphony Society

“The Organization has an Executive Committee consisting of the Chair of the Board, Vice Chair for Finance and Audit, other elected Vice Chairs, immediate past Chair of the Board, Chair of the Nominating and Governance Committee, Chair of the Development Committee, Chair Elect, President of the Spokane Symphony Associates, and up to three (3) additional Directors nominated by the Chair of the Board and confirmed by a majority vote of the Board of Directors. The Executive Committee shall have and exercise in the intervals between the meetings of the Board of Directors all the powers of the board in the management of the business and affairs of the Organization.”

“The organization made changes to the Bylaws during the fiscal year the detail changes are listed below. Article I Section 1 changes the term of Trustee to Director throughout the Bylaws. Article II Section 1 changes the number of Directors to a minimum of 3 to a maximum of 50 Directors; Directors can now serve for two consecutive 3-year terms. Article II Section 4 Board leadership was added to the Bylaws consisting of the Chair of the Board, Vice Chair for Finance and Audit, and up to 3 additional Vice Chairs of the Board; The Board may designate a Chair Elect of the Board; Term limits for these positions are posted in the Bylaws. Article II Section 8 removes verbiage referring to Trustees being eligible for reelection for more than 2 consecutive terms. Article 3 Section 1 the President is now also the Executive Director, Treasurer is now also the Chief Financial Officer and Secretary; These positions are no longer voting positions. Article V Section 1 the Executive Committee no longer includes the positions of President, President Elect, Vice President, Treasurer, and Trustees it is now composed of the Chair of the Board, Vice Chair for Finance and Audit, elected Vice Chairs, and Immediate Past Chair of the Board, Chair of the Nominating and Governance Committee, Chair of the Development Committee, Chair Elect, President of the Spokane Symphony Associates, and up to 3 additional Directors; The Executive Committee shall appoint Chairs for all Committees established by the Board. Article V Section 3 Finance and Audit Committee has been added. Article V Section 4 Development Committee has been added. Article X, Indemnification of Directors, Officers, Employees and Agents section has been added to the Bylaws; The previous Article X: Miscellaneous has been omitted. Article XI, Conflict of Interest has been added to the body of the Bylaws. Article XII, Charitable Purposes/Negation of Pecuniary Gain has been added to the body of the Bylaws.”

“Annual Members are those persons, firms, and corporations who make a payment to the Spokane Symphony Society for purchase of a season ticket and make a contribution to the Spokane Symphony Society for current expenditures during the fiscal year.”

“The members elect the Directors at an annual meeting.”

“The bylaws may be amended by three-fourths of the members at an annual meeting.”

“Form 990 is provided to President and Treasurer for review prior to it being submitted to the IRS.”

“The purpose of the conflict of interest policy is to protect The Spokane Symphony's interest when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of The Spokane Symphony or might result in a possible excess benefit transaction. The procedures for addressing the conflict of interest are as follows: An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether The Spokane Symphony can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or ommittee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in The Spokane Symphony's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.”

“The compensation of the Executive Director is reviewed and approved by the Board of Directors. Should there be a need to adjust compensation of the Organization's Executive Director, or top management official, a review meeting will be conducted by the Board, or a committee directed by the Board. Comparability data is provided by the League of American Orchestras. The Executive Director reviews compensation for other officers. The deliberation and final decision is documented in Board minutes and/or personnel files.”
