The significant changes to the bylaws include: 1) a greater definition regarding the finance committee, which will define in the bylaws both the finance committee's responsibilities and the committee's membership, moving away from the current practice of having the second vice president appoint the members of the committee. 2) quorum required for a regular, annual or special meeting of the member increased from 12 to 30.

Form 990, Part VI, Section A, Line 7B

Builder, associate and life members all have the same rights, including voting on association actions. The other listed member classes do not have the right to vote on association actions. Any builder or associate member shall be eligible for nomination and election as an officer or council chair, except that the chairman of the remodelers council shall be a builder member. An associate member shall hold the office of secretary and a builder member shall hold the other officer positions. The term of executive mba board positions shall be one year and the majority of directors will be builder members. All other board positions shall be for two year terms.

The form 990 is prepared with the assistance of an outside cpa firm. The return is first reviewed by the controller, the vp of finance, and the executive director. After initial review, the return is reviewed in detail with the finance committee. Form 990 is made available to the entire board of directors upon request. The executive director has been delegated the authority to sign the return.

The conflict of interest policy is reviewed annually by the board of directors; acknowledgement of the policy is signed by each board member annually. If a potential conflict arises, the executive director, roard president and entire board will be notified. Any person who indicates a potential conflict will be asked to refrain from participation in discussion or voting should it pertain to his/her business interests.
