“The executive committee established consists of five officers from easc's board of trustees, which includes the chair of the board, vice chair, secretary, treasurer, immediate past chair of the board and six at-large members selected or renewed annually by the board, two of which shall be selected from the chairs of any sub-boards or standing committees established by the board. The executive committee shall possess and may exercise all the powers and functions of the board of trustees in the management and direction of the affairs of the easc in all cases except as noted in section 4.11 of easc's bylaws.”
