Governance Explanations

The executive committee consists of the officers of the board. The executive committee has the necessary authority and responsibility to manage the affairs of the organization, subject to such policies as may be adopted and such orderes as may be issued by the board of directors. Except as otherwise provided in rcw 24.03.115, the executive committee has and exercises the full authority of the board of directors. Election of board members, removal of board members, amendments to the articles of incorporation, and amendments to the bylaws require approval by a majority of the board and that the majority include the catholic bishop of spokane, who is a member of the board.

The catholic bishop of spokane is a voting member of the board of directors by virtue of their position as catholic bishop of spokane for as long as they hold that position.
