Governance Explanations

Form 990, Part VI, Section B, Line 11B

Seattle goodwill engages an outside accounting firm to prepare the form 990 from input and data provided by the chief financial officer and accounting director. A draft form is reviewed by the chief financial officer and accounting director for accuracy before a final form 990 is produced. The final form 990 is then provided to all board members approximately one week before the form 990 is filed with the irs. As per irs guidance, the board members are not required to approve the form 990.

Form 990, Part VI, Section B, Line 12C

Conflict of interest disclosure forms are distributed annually to the board of directors, officers, managers and the accounting staff. Communication is made about the importance of disclosure of any real or potential conflicts of interest so that they can be appropriately managed. Each new board member is also provided this same form and information. Staff have been trained on our ethics policies. Clear procedures are established for the anonymous reporting of ethics violations through a 1-800 reporting service or directly to the compliance officer or chair of the board finance and audit committee. Each year, the compliance officer makes a report to the finance and audit committee of the board and to the full board of directors on compliance policy matters, including a summary of conflict of interest form disclosures. The compliance officer reviews conflict of interest forms and if a potential conflict of interest exists, steps are taken to remove the person from decisions that would trigger an actual conflict of interest.

Form 990, Part VI, Section B, Line 15A

Ceo compensation is established by the compensation committee of the board of independent directors. Using competitive salary surveys and considering organization and individual performance, the compensation committee reports its recommendation to the board annually before changes are made to the ceo compensation. The vp positions are approved by the board, but the vp compensation is established by the ceo, also considering individual performance and competitive salary surveys. The compensation committee receives a report of the vp compensation at the same time it considers ceo compensation each year. The last compensation review occurred in june 2020.

Form 990, Part VI, Section C, Line 19

The form 990 is published on our website. We do not publish our governing documents, conflict of interest policy, or financials to the general public. These are provided to grant funders, lessors, and lenders upon request. Summary financial information is provided, along with mission outcomes, to the public in our annual report. The annual report is provided to those who have requested to be on our distribution list and published on our website.

Additional Explanations

Form 990, Part I, Line 6

Volunteer activity, including the number of volunteers and volunteer hours, is tracked by each seattle goodwill location/department on a monthly basis. Volunteer supervisors submit volunteer data to the philanthropy department to be tracked and recorded in our constituent relationship management (crm) system, donor perfect online. Monthly reports are generated and shared company wide. The end of fiscal year report provides an unduplicated number of volunteers for the fiscal year. In fy19/20, 598 volunteers donated 8,852 hours of service. Volunteers assist seattle goodwill in a variety of ways, including direct service delivery in our job training and education centers, administrative support, and special event support. The number of volunteers also includes 18 uncompensated members of the board of directors.

Form 990, Part III, Line 2

In response to the pandemic and the temporary shutdown of in-person services and classes, seattle goodwill mission, jte pivoted to online classes and remote service delivery with an emphasis on digital equity and literacy. We provided technology and the means for internet access in order to remain connected to our students and clients; we provided support services, remote learning for abe and youth, online work readiness class (for esol & non esol students), youth workshops, and curriculum via google sites & classroom and microsoft teams.

Form 990, Part III, Line 3

In response to the pandemic, seattle goodwill made it a priority to keep employees and the community safe and healthy. In addition to social distancing and heightened sanitation practices at work, all goodwill employees and their guests are required to participate in a health screen for coronavirus symptoms each day prior to entering the workplace. We temporarily shut-down our retail and mission jte operations during the inception of the pandemic in spring 2020. In compliance with the state mandates and cdc social distancing guidelines, seattle goodwill implemented a phased return to work model that allowed for our retail stores to re-open and our mission jte programs and classes to operate in a hybrid and in-person setting through the last 2 quarters of 2020 and into 2021.
