“The executive committee shall, between the meetings of the board and while the board is not in session, have and exercise the powers and authority of the board, except that the executive committee shall not have power or authority to amend, alter, or repeal these bylaws; to elect, appoint, or remove any director, officer, or member of any committee of the board; to amend the articles of incorporation; to adopt a plan of merger or consolidation; to authorize the sale, lease, or exchange of substantially all of the assets of the association not in the ordinary course of business; to authorize the voluntary dissolution of the association or revoke proceedings to voluntarily dissolve the association; or to amend, alter, or repeal any resolution of the board which by its terms provides that it shall not be amended, altered, or repealed by the committee.”

“Members of the association of washington business shall be corporations, partnerships or other legal business entities engaged in manufacturing, retail/wholesale, transportation, communications, professional services, construction, agriculture, hospitality, technology and such other categories of business in the state of washington.”

“Annually all members are sent a checklist and it is returned and reviewed by the director of finance for potential conflicts. At board meetings in regards to sensitive voting that might have a conflict with one of the board members, management determines who might have a conflict and the ceo discusses with that board member. The conflicted person is asked to recuse themselves during the discussion and vote.”

“The compensation committee determines and approves the president's compensation. The president determines other officers and key employees' compensation and the baord approves compensation adjustments via the operating budget review and approval process. Salary surveys from other chambers and nonprofit organizations are utilized and other factors are taken into account during deliberations, like the cost of living and responsibilites of each employee. The process above last took place in 2024.”
