Governance Explanations

Form 990, Part VI, Section A, line 1A

The incoming student board members do not have a vote the first year of their 2-year term on the board of directors. This allows the student board members to learn for a year before voting the following year.

The Association has six classes of members, designated as follows: (a) Active Pharmacist Members (b) Active Technician Members (c) Associate Members (d) Active Student Pharmacist Member (e) Honorary Members (f) Corporate Members.

Form 990, Part VI, Section A, line 7A

Only Active Members (Pharmacists, Technicians and Students) have voting rights on Association ballots and shall have one vote upon each matter submitted to a vote. The Board of Directors appoints the Secretary-Treasurer to the Board of Directors. The Board of Directors hires the CEO who becomes an ex-officio member of the Board of Directors. The School Representatives on the Board of Directors are appointed by the Deans of the 2 schools of pharmacy.

The Association has no committees with broad authority to act on behalf of the Board.

The officers review the IRS Form 990 and submit it to the Board of Directors for approval before filing.

Form 990, Part VI, Section B, line 12C

Board members must disclose conflicts of interest as they arise. If a conflict is found to exist, the board decides if the conflicted board member should remove themselves from the discussion. Any board member with a conflict of interest is asked to abstain from a vote involving the conflict.

The Chief Executive Officer compensation package is reviewed by the Executive Committee of the Board and their recommendations must be approved by the Board. The Executive Committee uses Pharmacy Association CEO comparable data as well as Washington Pharmacy Salary Survey Data. The Executive Committee documents their findings in the CEO's annual review.
