“Once the form is completed by the head, finance and administration, the executive director reviews it after which it is submitted to the board for approval. All further clarification needed by the board is normally adressed conclusively before the form is submitted to irs for filing.”

“The organization has a code of conduct and conflict of interest policy in place. Each pasgr director, officer, staff and consultant is expected to provide a written acknowledgement confirming their understanding of the guidelines. Directors and officers do this by signing the conflict of interest policy document during board meetings while all staff and consultants do this through language included in all employment and service contracts. In addition, all supplier contracts include an acknowledgement of the supplier's commitment to comply with the code applicable to their work. For beneficiaries, all grant letters contain a statement of commitment for compliance with pasgr's code of conduct and conflict of interest guidelines. Directors, officers and employees would in the normal course of their duties declare potential conflict of interest in procurement and other selection processes, e.g. Recruitment. The said director, officers and employees would hence exclude themselves from the process. The declaration could be verbal or written to any member of the management committee. In addition, in the process of annually renewing the directors and officers' liability insurance the question of engagement in any potential conflict of interest is addressed and pasgr does declare if any of its directors have been engaged in activities that give rise to potential conflict. In cases where a conflict is identified, the matter is discussed with recusal by affected official.”

“Pasgr has a compensation policy that was approved by its board of directors in october 2011. In developing the benefits and compensation package, pasgr placed reliance on a report carried out by ernst and young for a comparable organization. The policy was subsequently reviewed by both the british council and dfid (pasgr major funder) prior to presentation to and approval by the board of directors. The board as well reserves the duty to set the executive director's compensation package while all other key persons are set by the executive director. In late 2019, pasgr carried out a new salaries and remunerations survey and the new report was approved by the board in may 2020. Moving forward, all remunerations to staff shall be guided by the new report.”
