“The organization is made up of members who are individuals that have a sincere concern and desire to take action for community improvement of abandoned, abused, lost and/or neglected domestic pets and feral animals in muskogee, surrounding area and the city animal shelter. The members elect an executive board of directors annually. The vice president of the executive board then appoints, with the approval of at least two other executive board members, staff officer positions which shall serve without pay and a one-year term with no limit of number of terms served.”

“All board of director positions are by annual election held in the month of november with eligibility requirements meeting those to obtain and maintain membership in good standing by attending a minimum of si (6) meetings or activities per year or four (4)activities and/or meetings if a new member. Any board member shall be elected by a majority voting in the general election and shall be posted/announced by december 15 of the same year. If a board position is vacated prior to the end of the term, it is to be filled via voting procedures within ninety (90) days.”

“All governing body decisions are brought to the membership at announced meetings in the form of motions. The passage of any motion requires a simple majority vote of the members present at the meeting.”

“Any member of the board/staff who has a financial, personal or official interest in, or conflict (or appearance of conflict) with any matter pending before the board, of such nature that it prevents or may prevent that member from acting on the matter in an impartial manner, will offer to the board to voluntarily excuse him/herself and will vacate his seat and refrain from discussion and voting on said item without prejudice.”
