The affairs of the corporation are managed by the board of directors. Directors are elected by the members in accordance with procedures set forth in the bylaws. Form 990, part vi, section b, line 11 tax returns will be reviewed by the executive committee. Form 990, part vi section b line 12c if there is an actual or possible conflict of interest - an interested person must disclose the existence of the financial interest and be given an opportunity to disclose all material facts to the directors and members of committees who have governing, board delegated powers after disclosure and discussion with the interested person. The governing board will determine whether a conflict of interest exists, discuss and vote, exclusive of the interested person in confirmity with above determination, it shall make its decision as to whether to enter the transaction.
