“Gateway research park has a contractual agreement with union square campus, inc., a 501(c)(3)nonprofit, to provide facilities and management services. Harold l. Martin, sr. And franklin gilliam, jr. Serve on the board of directors of gateway and are also on the board of directors of union square campus. The board of directors of gateway research park only approve the contractual agreements with union square campus, and are not involved in the day-to-day management decisions at union square campus. Harold l. Martin, sr. And franklin gilliam, jr., rescue themselves from any conflicting board decisions.”

“Bylaws were updated to reflect a change to the position of vice chair of the board of directors. The change is effective july 1, 2020.”

“With oversight from the executive director, gateway's director of administration and the business officer compile the information to be submitted to the accounting firm. The executive director reviews the draft of the form 990 when prepared, and the draft form 990 also is presented to the board's audit committee for review (prior to filing). The final report is presented to the board of directors as part of gateway research park's annual report (prior to filing).”

“At the annual january board meeting, the organization distributes the conflict of interest policy and asks members to sign those and return as quickly as possible. The director of administration or business officer then follows-up with each individual to be sure of their receipt and that full disclosure of possible conflicts of interests (if any) is discussed and resolved with the board. Policies are then filed in gateway's board book.”

“The organization's board of directors performs an annual performance review for the executive director. Increases or decreases in salary are made based on the board's recommendation. Page 6, part vi, line 15b. Personnel receive an annual performance review by gateway's executive director. Salary recommendations are at the discretion of the executive director.”

“Gateway research park, inc. Prepares and provides an annual report, which contains an audited financial report and form 990, as well as a description of the organization's activities during the prior year. Other documents are made available upon request.”
