Mission and Program Overview

Mission

To hold meetings and provide executive education for its member's senior executives, organize and sponsor market statistics programs and salary benchmarking surveys to improve business conditions in the manufacturing and marketing of analytical and life science systems, including instrumentation, reagents, consumables and technologies used for chemical and life science analysis and measurement. A second purpose is to promote the industry.

There is only one class of membership, regular membership and it has sole voting rights.

Except in the case of vacancies, and excluding the president, members of the board of directors are elected by the regular membership of the organization.

The form 990 was prepared by outside accountants and reviewed by the president, an officer of the association, before it was filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is made available to alda staff and employees and to each member of the alda board of directors and to any person appointed to a position with alda that regularly involves initiation, review or approval of significant alda contracts or other financial obligations. Directors: any member of the alda board of directors who may be involved in an alda business transaction in which there is a possible conflict of interest promptly notifies the alda president & ceo. The director refrains from voting on any such transaction, participating in deliberations concerning it, or using personal influence in any way in the matter. Furthermore, the director in question, or in that directors absence, the alda chairman,discloses the potential conflict of interest to the other members of the alda board before any vote on an alda business transaction and the disclosure is recorded in the board minutes of the meeting at which it is made. Any alda business transaction, which involves a potential conflict of interest with a member of the board of directors,will have terms that are at least as fair and reasonable to alda as those that would otherwise be available to the association if it were dealing with an unrelated party. Staff: any staff member who may be involved in an alda business transaction in which there is a possible conflict of interest promptly reports the possible conflict to the alda president & ceo. If the possible conflict involves the president, the possible conflict is reported to the chairman of the board. The alda president & ceo or where applicable, chairman, after receiving information about a possible conflict of interest, takes such action as is necessary to ensure that the transaction is completed in the best interest of alda without the substantive involvement of the person who has the possible conflict of interest. Under this policy, any verbal or written record of a possible conflict is documented and made part of the minutes of the meeting.

Form 990, Part VI, Section B, Line 15A

The president, who also serves as the chief staff executive, recommends staff salary adjustments including his own annually to the officers of the association who forward the president's recommendations with their own comments and recommendations to the staff and compensation committee for approval. The organization purchases an executive compensation study for use in this process. Afterwards, the president is advised in writing of the approved salary adjustments. No other key employees or officers receive compensation. The last compensation review occurred in june 2024.
