“Article v - nomination and election timeline slightly changed. Moved to october meeting beginning in 2018. Article v - director terms changed to two years, down from three years. Article v - director term limits implemented, three two-year terms (six years total). Note: current directors will be grandfathered. Also, it is possible for director seeking president, to be on board more than six years. Article v - ex-officio member list added. Article v - meeting frequency reduced to quarterly instead of monthly. Note: bylaws had previously indicated only four meetings a year. Article v - meeting attendance requirement changed to 75%, up from 50%. Article vi - officer election timeline changed, with due date for nominations set to august 20, and as of 2018, elections will take place at october meeting. Further, for 2017, the task force will ask for amendment that officer elections be moved to november, up from february, and for nominations to open up immediately. Article vi - officer terms extended to two years. Article vi - succession plan implemented - vice president will be a president elect. Article vi - officer removal clause added - with or without cause. Article vii - board development committee members lessened from two past presidents to one. Article viii - in general, language has been added throughout this article to allow for clubs in addition to recognized chapters. At this time, no dues sharing has been established for clubs, but presidents of recognized clubs (or a delegate) will be ex-officio members of the board.”

“Prior to finalizing form 990, a draft of the form is provided to each board member for their respective review and approval. Once all board members have approved the form 990, it is finalized for signature and filed appropriately.”

“The directors review, update, and sign the unlv alumni association policy on conflicts of interest and annual disclosure & declaration annually which requires them to disclose relationships that might lead to potential conflicts of interest and refrain from any participation on behalf of the association in transactions that might involve a potential conflict of interest. It is part of the board member's fiduciary duty to alert the executive committee to any possible conflicts.”

“The association will provide its governing documents, conflict of interest policy, conflict of interest policy, and financial statements to the public upon written request.”
