“The Executive Committee shall be composed of the Chair, the Chair-Elect, the Immediate Past Chair, the Treasurer, President/CEO and up to four additional Directors appointed by the Chair. The Executive Committee shall have only that authority specifically delegated to it by the Board and the authority to act on items of Chamber business which cannot be postponed until the next Board meeting. The Executive committee may act for the board of Directors when the Board is not in session, but it shall be accountable to the Board for any action taken.”

“Any reputable person, association, business organization, or partnership within the South Shore of the Lake Tahoe Basin, may become a member.”

“Each member in good standing shall be entitled to one (1) vote.”

“The Form 990 is provided to management and the Board of Directors for review and approval prior to submitting to the IRS.”

“Board members are required to acknowledge, not less than annually, that he or she has read and complied with the conflict of interest policy. Conflicts and measures to be employed to address conflicts are identified by the Board of Directors. Said measures may include, among other things: (1) removal of the member for the duration of the discussion, (2) allowing the member to attend the discussion, but prohibiting the member from participating in discussion or voting, or (3) allowing the member to fully paricipate in discussions and vote on such matters. If it is determined a member has failed to disclose actual or possible conflicts of interest the board may take appropriate disciplinary and correction action.”

“The Finance Committee discusses the comparable salaries of the industry, and then management ultimately decides on and approves the salaries. Finally the full budget (which contains the total salaries) is approved by the full board.”
