Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee includes the Chair, the Chair Elect, the Immediate Past Chair, the Secretary and the Treasurer and normally 4 to 6 members as necessary to assure the Committee has up to 11 members.

Form 990, Part VI, Section A, line 6

Membership to the museum is available to the general public for a fee. Members are entitled to entry to exhibits, tours and merchandise discounts based upon their membership level. Members also receive nominal discounts on art classes and free invitations to "art bites," which are informative lectures on current exhibits.

A copy of the Form 990 is provided to the CEO, Director of Finance, and the Chair of the governing board for review prior to issuance.

Form 990, Part VI, Section B, line 12C

In instances where Trustees, Museum employees, volunteeers, and/ or members or their immediate families may have business interests or sit on for-profit or non for profit foundation boards that have relationships to the Museum, the individual must: a) immediately disclose any interest in the relationship, and b) recuse him/ herself from any discussion and/ or action taken by the Museum and/ or Museum Board by leaving the room during said discussion and vote. Guidance and advice from the CEO should be sought in any instance in which a questions arises on ths policy. Each Trustee and Employee signs the policy statement as evidence of acknowledgement.

Form 990, Part VI, Section B, line 15

The board, COO and Director of Human Resources work together to obtain the comparative compensation information from contacts with other museums in the country, and from relevant publicly available/published salary data. The Board of Trustees determines the compensation to be paid to the CEO. For all other officers, the CEO recommends a salary or salary range, and the Board makes the final approval. All determinations and discussions are noted in the minutes.

Financial Statement Notes

Part III, Line 1A:

The museum's permanent collections are acquired through purchases and contributions, and consist of art, archive, and library resources. Pursuant to a change in accounting policy adopted by the board of trustees during 2019, the permanent collections are no longer recognized as assets on the statements of financial position. This change in policy was made to bring the museum's financial statements into alignment with its peers and with the principles of its accrediting body. Purchases of permanent collection items are recorded as decreases in net assets without donor restrictions in the year in which the items were acquired. Contributed permanent collection items are not reflected in the consolidated financial statements. Proceeds from the deaccessioning process are reflected as increases in net assets without donor restrictions and are used exclusively to acquire other items for the permanent collections.

Part V, Line 4:

The earnings from the endowment funds are intended for various purposes including the preservation and enhancement of the facilities and art collections, to increase exposure to the arts, and to maintain financial reserves.

Part X, Line 2:

Management annually reviews the Museum's tax positions, which are summarized as follows: The Museum has not engaged in activities that would jeopardize its tax-exempt status; The Museum has not engaged in any activities that would result in unrelated business income tax; The Museum has determined that there are no material uncertain tax positions that require recognition in the financial statements. Accordingly, no provision for income taxes has been made. In addition, the Museum does not expect any material change in its tax positions within the next 12 months. The Museum's policy is to recognize interest and penalties accrued on any unrecognized tax benefits. As of December 31, 2024 and 2023, the Museum did not have any unrecognized tax benefits; therefore, the Museum did not have any interest or penalties expense related to unrecognized tax benefits for the years ended December 31, 2024 and 2023. The Museum is not subject to federal income tax examinations for years before 2020.

IRS990/Desc0The Nevada Museum of Art, Inc. (the "Museum") is a not-for-profit organization housed in a contemporary building in Reno, Nevada designed by renowned architect Will Bruder. Founded in 1931, the Museum is one of the oldest cultural institutions in Nevada and is the only museum in the state accredited by the American Alliance of Museums. The Museum presents a wide variety of visual arts exhibitions, educational programs and studio classes, films, and special events. The permanent collection of the Museum is divided into four focus areas and consists of more than 2,000 works of art organized around general themes of land and environment. Many of the Museum's exhibitions and programs are developed as content for the Center for Art + Environment, which aims to support the practice, study, and awareness of creative interactions between people and their environment.
