To ensure the Organization operates in a manner consistent with its tax exempt purposes and does not engage in activities that could jeopardize its tax-exempt status periodic reviews shall be conducted. The periodic reviews shall at a minimum include the following subjects: 1. Whether compensation arrangements and benefits are reasonable and are the result of arm's length bargaining; and 2. Whether partnerships joint ventures service contracts and other financial arrangements with management organizations conform to the Organization's policies are properly recorded reflect reasonable investment or payments for goods and services advance the Organization's purpose and do not result in improper inurement impermissible private benefit or in an excess benefit transaction.

The Board of Directors will comply with the Conflict of Interest Policy in considering and deciding on compensation; 2. The Board of Directors must be composed entirely of individuals who do not have a conflict of interest with respect to the compensation arrangement. The key officer of employee may provide information relevant to the compensation decision but the key officer or employee shall not participate in deliberations or vote on his her own compensation; 3. The entire compensation arrangement will be approved in advance of the data contract; 4. The Board of Directors will obtain and rely upon information relevant to the criteria set forth in this Policy and appropriate comparative data prior to making the determination; and 5. The Board of Directors will comply with the Conflict of Interest Policy in considering and deciding on compensation; 2.
