My Happy Place maintains a formal Conflict of Interest Policy that applies to all board members officers and key employees. All potential conflicts are required to be disclosed in writing annually and as they arise during the year. Proposed transactions involving board members or officers are reviewed by the full board and any interested party recuses themselves from discussion and voting. The board documents its review and approval process in the meeting minutes. For ongoing transactions the board periodically reviews payments contracts and relationships to ensure compliance with the policy. Any actual or potential conflicts discovered after a transaction are immediately disclosed to the board and appropriate corrective measures including repayment or amendment of agreements are undertaken to maintain transparency and compliance with IRS regulations.
