A "conflict of interest" check is verbally conducted in every meeting after the consent agenda is adopted, to allow for conflict of interest disclosures as they may relate to the general operations of the organization or related to any actionable items within the consent agenda.”
“The executive director's compensation was reviewed and approved by the independent, voting members of the board of directors in fy2025. Board members with actual or perceived conflicts of interest were recused from both discussion and voting. The board engaged an independent compensation specialist to provide relevant market data for comparable exeuctive positions at similarly sized nonprofit organizations within the same geographic region, using reputable sources including economic research institute (eri)'s salary assessor database, the foraker group's 2024 compensation and benefits survey, and candid's 2024 nonprofit compensation report. The board formally deliberated and approved the compensation during a duly convened meeting, and both the decision and supporting data were documented contemporaneously in the official meeting minutes.
