“The Form 990 is prepared by an independent accounting professional based on information provided by management. A draft of the return is reviewed by the organizations management and provided to the Board of Directors for review prior to filing. The Board is given an opportunity to ask questions and provide feedback before the return is filed with the IRS.”

“The organization maintains a written conflict of interest policy applicable to directors officers and key employees. Individuals covered by the policy are required to disclose any potential conflicts of interest annually and whenever a potential conflict arises. Disclosed conflicts are reviewed by the Board of Directors and any individual with a conflict is required to abstain from discussion and voting on the related matter. The Board documents the disclosure and resolution of any conflicts in the meeting minutes.”

“The compensation of the organizations Executive Director and other officers or key employees is reviewed and approved by the Board of Directors or a committee of the Board composed of individuals without a conflict of interest. In determining appropriate compensation the Board considers relevant comparability data which may include compensation information for similar positions at comparable organizations industry surveys and other publicly available information. The Board documents the basis for its decisions and the deliberations and approval of compensation are recorded in the meeting minutes.”

“The organization makes its governing documents conflict of interest policy and financial statements available to the public upon request. Requests may be submitted to the organization and copies of these documents are provided within a reasonable period of time.”
