Governance Explanations

Form 990, Part VI, Section A, Line 6

There are two classes of voting membership in the organization. Each member of the organization, except any associate member, shall be entitled to one vote on all matters requiring a vote of the members of the organization. Eligible voting members shall be municipalities, state political subdivisions, tribal government or tribal government affiliated entities, and nonprofit corporations or cooperatives that operate a water distribution system, have leadership selected by the water users and agree to support, by reason of its membership in the organization, the organization in advocating for and developing, constructing and operating the organization's water system. The voting membership will be separated into a level 1 membership and a level 2 membership. Level 1 memberships shall consist of eligible entities that have at least 200 separate and independent residential connections to that member's existing water system. Entities with demand that exceeds that usually envisioned for 200 full time residential hookups may apply to the board of directors to qualify as a level 1 member. Level 2 members shall run an operating water system serving less than 200 residential hookups. An organization with over 200 residential hookups that is fully built out within its jurisdictional territory may request that its membership application be treated as a membership application as a level 2 member. Two-thirds of the board of directors shall be representatives of level 1 members. The remaining board of directors shall be representatives of level 2 members. Associate members consist of individuals and entities that wish to support the organization but are not eligible to be level 1 or level 2 voting members. The board of directors review membership applications at regularly scheduled board meetings.

Any member may nominate one qualified candidate for board of directors. Nominated candidates shall be voted on at the annual meeting of the members. Each voting member shall have one vote per open position. Each member can only cast one vote per open position and may not cast more than one vote for a nominee. The nominee(s) receiving the highest votes shall become director.

As of december 31, 2024, the organization had no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. The organization's income tax filings are subject to audit by various taxing authorities. The organization is no longer subject to federal and state income tax examinations by taxing authorities for years before 2021. Management continually evaluates expiring statutes of limitation, audits, proposed settlements, changes in tax law, and new authoritative rulings. The organization believes its estimates are appropriate based on current facts and circumstances. Interest and penalties assessed by income taxing authorities, if any, are included in interest expense.
