Conflict of interest policy compliance Part VI line 12C

As a member of the board, i recognize that i owe a fiduciary duty and loyalty to d.v.i. This duty requires me to avoid conflicts of interest and to act at all times in the best interests of d.v.i. The purpose of the conflicts of interest policy (set forth below) is to help inform the board about what constitutes a conflict of interest, assist the board in identifying and disclosing actual and potential conflicts, and help ensure the avoidance of conflicts of interest where necessary. This policy may be enforced upon individual board members as described below: 1.board members have a fiduciary duty to conduct themselves without conflict to the interests of d.v.i. In their capacity as board members, they must subordinate personal, continued: 2.a conflict of interest is conduct, a transaction or relationship that presents or might conflict with a board members obligation to d.v.i. And the board members personal, business or other interests. 3.all conflicts of interest are not necessarily prohibited or harmful to d.v.i. However, full disclosure of all actual and potential conflicts, and a determination by the disinterested board members with the interested board member(s) recused from participating in debates and voting on the matter -are required. 4.all actual and potential conflicts of interest shall be disclosed by board members of d.v.i. In the presence of the full board through the annual disclosure form to be submitted each january. Continued 2:a separate disclosure form will be submitted to the full board by board members whenever a conflict arises throughout the year. Disinterested members of the board shall make a determination as to whether a prohibited conflict exists and what subsequent action (if any) is appropriate. The disinterested board members shall inform the board of such determination and action by the next regularly scheduled board meeting. The board shall retain the right to modify or reverse such determination or action and shall retain the ultimate enforcement authority with respect to the interpretation and application of the policy. 5.on an annual basis, all board members shall be provided with a copy of this policy and

General explanation attachment

The organization tracks and collects information on in kind donations from the community. The total community donation value that was collected in 2024 is $25,567 for in- kind items donated to the organization for use by their clients or for use in their facility. Items included in this total include (but are not limited to) clothing for clients and their children, childrens toys, diapers, wipes, household supplies and good for use by clients, office supplies, etc. The total in kind donation amount of $25,567 has been taken as an expense in the same amount on page 10, line 24a - outreach operations expenses. The total in-kind volunteer hour donations for 2024 is $21,838. This is calculated using the general services adminstration (gsa) stated volunteer rate of $30.78. The total volunteer hours for 2024 were 709.5 hours. Using the rate mentioned above, the in-kind volunteer hour valuation is valued at $21,838 (709.5 hours x $30.78). The total in-kind donation amount of $21,838 has been taken as an expense on page 10, line 11g - other fees for service. Housing assistance and client financial assistance totals $2550.
