Governance Explanations

Form 990, Part VI, Line 11B Review of form 990 by governing body

The program administrator, associate program administrator, and the principal investigator will review form 990 and discuss with each other any questions and/or comments. The program administrator will direct these questions to the tax preparer and relay the answers to the associate program administrator and principal investigator. If they are satisfied with the responses, no further action will be required. If they are not satisfied, then a meeting will be scheduled to discuss the outstanding questions with the tax return preparer.

Form 990, Part VI, Line 12C Conflict of interest policy

All investigators who participate in clinical trials are required to complete a form fda 1572 annually and submit it to the food & drug administration (fda). The form fda 1572 is a statement of investigator (title 21, code of federal regulations (cfr) part 312). It includes a subpart, financial disclosure form, which the investigator must also complete annually. In addition to completing the form fda 1572, investigator and foundation staff must also complete an annual financial conflict of interest disclosure form. The policy and procedures followed by the foundation are intended to meet the most recent requirements published by the federal government regarding revised financial conflict of interest (fcoi) regulation, promoting objectivity in research on august 25, 2011 (42 cfr part 50 subpart f and 45 cft part 94). The foundation will report significant financial conflicts of interest as outlined in the federal regulations.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

The foundation uses data as to comparable compensation for similarly qualified persons at similar organizations. Foundation employees are evaluated annually and the rate of pay is discussed during the evaluation and is written as part of the evaluation process. These are the records with respect to the decisions regarding the compensation process. The principal investigator is compensated per federal guidelines. None of the other trustees receive compensation.

Because there are no known circumstances that would place the Foundation's status as a tax-exempt organization in jeopardy, and because the Foundation does not engage in unrelated business income activities, and there are no known uncertain tax positions taken or to be taken, no provision has been made for income taxes. In the unlikely event any income taxes or tax-related penalties and interest are assessed, such items would be recorded as general and administration expenses. The Foundation's Returns of Organization Exempt from Income Tax (Form 990) generally remain subject to examination by the Internal Revenue Service for three years after they are filed.
