Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the corporation to do so and the transaction was fair and reasonable as to the corporation at the time the corporation enters the transaction. The minutes of meetings at which such votes are taken shall record such disclosure, abstention and rationale for approval.”

In 2024, activities included feeding thousands of participants at burning man, establishing both literal and metaphorical safe spaces, and producing queer-centered art and burlesque performances focused on inclusion.”
