Governance Explanations

Part VI, Line 11A

The Board of Directors holds a meeting to review and comment on the Form 990 and all schedules approximately thirty 30 days prior to the due date of the filing. A representative of the accounting firm that prepared the Form 990 or the FCI staff member who prepared the Form 990 is in attendance to answer questions and discuss the preparation of the Form 990. Each member of the Board of Directors receives an electronic copy of the Form 990 approximately twenty-one 21 days prior to the submission of the form to the Internal Revenue Service and may submit comments to the Board of Directors prior to the filing date. The Form 990 is finalized approximately ten 10 days before the due date of the filing. The Board of Directors receives an executive summary of material changes if any electronically prior to the filing of the final Form 990

Part VI, Line 12C

There is a comprehensive conflict of interest policy in a handbook that is provided to all employees. The conflict-of-interest policy is reviewed in orientation for the board of directors. All employees independent contractors and directors are obligated to inform their supervisor and the chief internal operations officer of any potential conflict of interest or bias for or against a particular grant action or policy prior to or at the time such grant action or policy is under consideration as soon as the potential conflict is known. Following disclosure the supervisor and chief internal operations officer will review the disclosure or take any other action deemed necessary to address the conflict and protect the organizations best interests. They will refrain from taking any action that might be perceived as an actual or potential conflict of interest. The final decision is made by the Chief Executive Officer or if the conflict involves the CEO the Board Chair.

| Name of the Person: The process used to establish compensation of the person who served in:| The year in which this process was last undertaken:| Sherika Hill CEO Compensation is determined by the Board of Directors based on compensation for the top management official at similar non-profits of a similar size. The Board of Directors reviews and votes to approve the CEO compensation. Staff compensation is determined based on prevailing market wages. The Chief Internal Operations Officer uses the job description and title to review similar salaries and sets a pay band based on the range for that skill set in the local market. New employees are offered a salary within that pay band based on their qualifications as established by the job description. New hires must meet all required qualifications. Those with few preferred qualifications are offered salaries on the low side of the pay band. Those with many or all of the preferred qualifications are offered salaries on the high side of the pay band. 2023|
